Formula and methodology
Formula: Post-money valuation = pre-money valuation + new investment; investor ownership = investment ÷ post-money valuation; existing-owner ownership after financing = pre-money valuation ÷ post-money valuation.
Pre-money valuation describes the modeled value immediately before new money enters the transaction, while post-money valuation adds that investment. This calculator makes the resulting ownership split visible without assuming a particular share count, option-pool treatment, security type, or legal agreement. It is a capitalization arithmetic screen, not an appraisal or term-sheet substitute.

- An existing option pool, debt conversion, liquidation preference, multiple investor closings, fees, and taxes are not modeled.
- A zero pre-money value is allowed mathematically and yields zero existing-owner percentage when new investment is positive.
- The result does not determine a fair valuation, legal ownership, voting rights, or regulatory treatment.
