Formula and methodology
Formula: Estimated free-float shares = shares outstanding − insider holdings − restricted holdings − strategic or other excluded holdings. Free-float percentage = free-float shares ÷ shares outstanding × 100.
Free float is a classification estimate, not simply every share that is not currently sold. This calculator makes each excluded holding category explicit so a visitor can reconcile the result to an exchange or index-provider definition.
This result follows the calculator's declared inputs, precision, validation boundaries, and model limits.
Input contract
- Shares outstanding — shares; minimum 1; maximum 1000000000000000
- Insider and controlling holdings — shares; minimum 0; maximum 1000000000000000
- Restricted or locked holdings — shares; minimum 0; maximum 1000000000000000
- Strategic or other excluded holdings — shares; minimum 0; maximum 1000000000000000
Worked example
| Input | Value |
|---|---|
| Shares outstanding | 100000000 |
| Insider and controlling holdings | 15000000 |
| Restricted or locked holdings | 5000000 |
| Strategic or other excluded holdings | 10000000 |
The estimate is 70,000,000 free-float shares, or 70% of 100,000,000 shares outstanding, before any methodology-specific adjustments.
Assumptions and limits
- All share counts refer to the same issuer, security class, and measurement date.
- Excluded holding categories do not overlap with one another.
- Each entered excluded category is part of the shares outstanding total.
- Excluded holdings together cannot exceed shares outstanding; the handler rejects that inconsistent snapshot.
- The percentage is calculated against shares outstanding rather than a market-value denominator.
- A public listing does not by itself prove that every share is freely available to trade.
- Lockups, government holdings, cross-holdings, employee plans, and strategic stakes may receive different treatment under different methodologies.
- The calculator does not decide whether a holder is an affiliate or whether a security is eligible for an index.
- Fractional or treasury-share conventions should follow the issuer’s filing and the selected methodology.
- This is an equity-market data worksheet, not investment advice or a trading signal.
